Terms of Service

1. Introduction

What These Terms Cover

These Terms of Service (“Terms”), along with our Acceptable Use Policy ("AUP"), govern your use of artificial intelligence chatbots and virtual assistants (“AI Assistant”) powered by Roof AI Inc. (“Roof AI”, “we”, “us”, or “our”).

By using our AI Assistant made available to you through websites, applications, and platforms operated by our Customers, you agree to adhere to these Terms and the AUP.

Who Are “Customers”?

Customers are businesses or entities that use Roof AI’s technology to power the AI Assistant on their websites, applications, or platforms. These entities enter into a separate Service Agreement with Roof AI, governing their use of our technology and their obligations to End Users like you.

How to Understand These Terms

When you interact with an AI Assistant that displays "Powered by Roof AI" or similar branding, you're using our technology. While the Customer owns the website or platform you're visiting, Roof AI provides the AI technology that powers the conversations you have with the AI Assistant.

Your Agreement

By using our AI Assistant, you agree to:

  • Adhere to all provisions outlined in this agreement, including any future updates as communicated to you.
  • You must be at least 18 years old or the age of majority in your jurisdiction, whichever is greater, and legally capable of entering into a binding agreement.
  • Ensure that all information you submit during interactions is correct and not misleading.
  • Engage with the AI Assistant in a lawful, respectful, and appropriate manner.

2. Relationship with Service Agreement

When you interact with our AI Assistant, you are using technology provided by Roof AI through one of our Customers. Roof AI powers the AI Assistant, while the Customer owns the platform or website where the AI Assistant is embedded. The relationship between Roof AI and our Customers is governed by a separate Service Agreement. For clarity:

  • These Terms govern your use of the AI Assistant. These Terms apply to your direct interactions with the AI Assistant, including how you use the technology and any obligations arising from those interactions.
  • The Customer’s terms govern your relationship with them. Any purchases, services, or transactions made through the Customer’s platform are subject to their terms and policies. Roof AI is not responsible for those transactions or the Customer’s obligations to you.
  • The Service Agreement governs the relationship between Roof AI and the Customer. The contractual relationship between Roof AI and the Customer is outlined in a separate Service Agreement, which is not part of these Terms. The Customer is responsible for adhering to Roof AI’s Service Agreement and ensuring compliance with this ToS by all End Users interacting through their platforms or channels.

In cases where these Terms conflict with the Customer’s terms, the following rules apply:

  • The Customer’s terms will govern your interactions with them and their platform.
  • These Terms will prevail in matters specifically related to your use of the AI Assistant.

Roof AI may share your interactions with the AI Assistant, including any data you provide, with the Customer for their use, in accordance with applicable privacy laws and our Privacy Policy. You should refer to the Customer’s terms and privacy policy to understand how they manage and use this data.

3. Our Service

Purpose and Benefits

Roof AI’s AI Assistant is designed to enhance your experience by providing tools and information tailored to your real estate needs. Specifically, the AI Assistant can:

  • Provide Real Estate Information: Deliver details about properties, areas, and the real estate home buying and selling process.
  • Answer Inquiries: Respond to questions about property listings, services, and processes.
  • Facilitate Connections: Help you get in touch with real estate professionals, loan officers, and other relevant experts.
  • Manage Appointments: Schedule property viewings, consultations, and follow-ups efficiently.
  • Access Resources: Offer guides, tips, and resources to assist with your real estate journey.

How It Works

Our AI Assistant leverages advanced artificial intelligence to:

  • Understand Your Needs: Interpret your questions, requests, and context.
  • Improve Through Learning: Continuously learn from anonymized and aggregated interactions to enhance the quality and scope of responses.
  • Seamlessly Connect to Human Support: Escalate your inquiries to real estate agents, loan officers, or other human representatives when necessary.

Service Limitations

While our AI Assistant is a powerful tool, it is important to recognize its boundaries:

  • Artificial Intelligence Limitations: The AI Assistant is a virtual entity and not a human. Responses are generated automatically and may not account for nuanced or complex scenarios.
  • Accuracy and Completeness: Information provided is based on available data and may not always be fully accurate, up-to-date, or comprehensive. Users are encouraged to verify critical information with a human professional.
  • Dependence on Customers: The service is provided through our Customers (e.g., real estate agencies, brokers, or loan officers). The quality and availability of the AI Assistant may vary depending on the Customer’s integration and data provided.
  • Human Oversight: For significant or legally binding decisions, human input and verification are mandatory. The AI Assistant is not a substitute for professional advice or judgment. Users should exercise discretion and seek human expertise for critical or legally binding matters.

4. Your Use of the Service

Acceptable Use

By using the AI Assistant, you agree to:

  • Use the Service for Its Intended Purpose: Submit only legitimate and genuine inquiries related to the service’s functions.
  • Act Respectfully: Engage with the AI Assistant in a courteous and professional manner.
  • Provide Honest Information: Ensure that all information you provide is accurate and truthful. Comply with Laws and Regulations: Abide by all applicable local, national, and international laws, including but not limited to the Fair Housing Act (FHA) and data privacy regulations such as GDPR or CCPA.

Prohibited Activities

You must not:

  • Submit Harmful or Obscene Content: Post or transmit any material that is defamatory, abusive, obscene, discriminatory, or otherwise inappropriate. Include hate speech, violence, or sexually explicit content.
  • Violate Legal or Ethical Standards: Submit or promote content that violates the Fair Housing Act, including discriminatory statements based on race, color, religion, sex, familial status, national origin, or disability. Contravene any data protection laws, such as the General Data Protection Regulation (GDPR) or California Consumer Privacy Act (CCPA).
  • Engage in Malicious Behavior: Harass, abuse, or threaten others, including other users or staff of the Customer. Exploit the service to harm individuals, groups, or organizations.
  • Provide False or Misleading Information: Intentionally submit inaccurate, incomplete, or deceptive data. Impersonate any person, organization, or entity.
  • Compromise Security or Integrity: Attempt to bypass or undermine security measures. Test, scan, or probe the service for vulnerabilities.
  • Automate Access or Abuse Resources: Use bots, scripts, or other automated means to access or manipulate the service. Overload or interfere with the service’s operation.
  • Access Unauthorized Systems or Data: Attempt to gain unauthorized access to the service, its underlying systems, or other users’ information. Intentionally exploit any system vulnerabilities, loopholes, or bugs to gain unauthorized access or to compromise service integrity.

Consequences of Misuse

Violation of these terms may result in:

  • Immediate suspension or termination of your access to the AI Assistant.
  • Reporting of violations to the appropriate authorities, including regulatory bodies where applicable.
  • Pursuit of legal remedies, including claims for damages or injunctive relief.

Roof AI reserves the right to cooperate with law enforcement and regulatory bodies in the investigation of violations.

5. Data and Privacy

Information We Collect

When you use our AI Assistant, Roof AI may collect the following types of information:

  • Messages and Inputs: The content of your conversations with the AI Assistant.
  • Voluntary Information: Any additional details you provide during your interaction.
  • Technical Data: Device information, IP address, browser type, and interaction timestamps.
  • Usage Insights: Patterns and preferences to improve the quality of service.

How We Use Your Information

Roof AI processes your information to:

  • Deliver and improve the AI Assistant’s functionality and its services.
  • Train AI models and enhance their accuracy using anonymized data.
  • Generate non-personally identifiable analytics and insights for service optimization.
  • Monitor and ensure compliance with security protocols.
  • Satisfy legal and regulatory requirements.

Data Retention

Roof AI retains your information for as long as necessary to provide the services or as required by law. Messages may be anonymized for model training and retained indefinitely for quality assurance purposes.

You may request the deletion or review of your personal information in accordance with our Privacy Policy.

Data Sharing

Roof AI may share your information with:

  • Customers: To fulfill their service offerings and improve their customer interactions.
  • Service Providers: Trusted third parties who assist Roof AI in operating and maintaining the AI Assistant. These providers are bound by confidentiality and data protection agreements.
  • Authorities: In response to legal requests or to protect against fraud, security threats, or harm.

Roof AI ensures that all data sharing with Customers and service providers adheres to applicable privacy laws, including GDPR, CCPA, and other jurisdictional regulations.

Your Privacy Rights

Your data is protected under our Privacy Policy (available at www.roofai.com/privacy). You have rights regarding your personal information as detailed in that policy.

6. AI Disclosures

Nature of Service

By using the AI Assistant, you acknowledge and agree to the following:

  • Artificial Intelligence Interaction: You are engaging with an automated system powered by artificial intelligence, not a human representative.
  • Automated Responses: The responses provided are generated automatically based on available data and the context of your interaction. Potential for Errors: The AI Assistant, while designed for accuracy, may occasionally provide incomplete, outdated, or incorrect information. You are responsible for verifying the accuracy and relevance of information provided by the AI Assistant before relying on it for decisions.
  • Human Oversight Required: Human oversight is mandatory for any critical, legal, financial, or professional decisions. Roof AI and Customer disclaim liability for outcomes resulting from reliance on AI Assistant responses.
  • Informational Purpose Only: The AI Assistant is intended to provide general information and facilitate basic interactions. It does not offer legally binding advice or guarantees.

Improvements and Training

To enhance the AI Assistant and maintain service quality, we may use anonymized data from your interactions to:

  • Refine AI Models: Improve the algorithms and machine learning capabilities that power the AI Assistant.
  • Enhance Response Accuracy: Address gaps or inaccuracies in responses to ensure better service.
  • Develop New Features: Innovate and expand the Assistant’s functionality based on user needs and feedback.
  • Fix Errors: Identify and resolve bugs, errors, or service disruptions.
  • Train Systems: Improve the AI’s ability to understand and respond effectively to diverse inputs and scenarios.

All data used for improvements is anonymized to ensure it cannot be traced back to individual users, and robust security measures are applied to protect against unauthorized access.

7. Disclaimers and Limitations

Service Availability

  • The AI Assistant may not be available at all times due to factors such as maintenance, updates, or technical issues.
  • Service quality, performance, or accessibility may vary based on circumstances beyond our control.
  • Access to the AI Assistant may be temporarily suspended or modified without prior notice for operational reasons.
  • Features and functionality of the AI Assistant may change over time, and certain features may be discontinued.
  • Service availability may also be affected by third-party integrations, internet service disruptions, or force majeure events beyond our control.

Disclaimer of Warranties

The service is provided on an "as is" and “as available” basis. Neither Roof AI nor Customer make any warranties, either express or implied, including but not limited to:

  • The accuracy, reliability, or completeness of responses or information.
  • Suitability for any specific purpose or use.
  • Uninterrupted or error-free availability of the service.
  • The absence of defects, bugs, or vulnerabilities in the AI Assistant.

Neither Roof AI nor Customer is liable for disruptions, errors, or damages arising from third-party services, integrations, or data inaccuracies beyond its control.

Limitation of Liability

To the maximum extent permitted by law, Roof AI, Customer, and their respective affiliates will not be liable for:

  • Decisions or actions taken based on AI-generated responses.
  • Errors, inaccuracies, or omissions in the AI Assistant’s responses.
  • Service disruptions, delays, or unavailability.
  • Loss, corruption, or unauthorized access to data.
  • Indirect, incidental, punitive, or consequential damages, including but not limited to loss of profits, business opportunities, or reputation.

The total liability, if any, of Roof AI, Customer, and their respective affiliates is limited to the extent specified in applicable agreements or under relevant laws.

8. Additional Terms

Changes to Terms

We may update these Terms by posting a new version at www.roofai.com/terms. Continued use of the AI Assistant after changes means you accept the updated Terms.

Governing Law

These Terms are governed by the laws of Quebec, Canada, without regard to conflict of law principles.
